Terms

Plain language, because the rules only work if people can read them.

What ValoCart is

ValoCart is a marketplace for collective buying. Sellers publish offers with a fixed unit price, a target quantity and a closing date. Buyers commit to a quantity and fund that commitment. When the target is met, the deal settles at that price for everyone in it.

ValoCart is not the seller. The goods or services in an offer are supplied by the seller who posted it, on the terms they attached to it.

Joining a deal

Joining an offer reserves capacity for thirty minutes and gives you a deposit address for your commitment. The reservation lapses if the deposit does not arrive in that window, and the capacity returns to the pool.

Deposits are made in the currency the offer settles in, either SOL or USDC. Send the exact amount shown. An underpayment does not fund the commitment.

What happens at the deadline

If funded demand meets the target, the deal succeeds and every funded commitment settles at the offer price.

If it falls short, the seller has 48 hours to make exactly one decision. They may accept the shortfall and go ahead at the original price, make one final offer at a strictly higher price, or cancel. If they do not decide within the window, the deal is cancelled and every funded commitment is refunded in full.

If a final offer is made, every funded buyer has 48 hours to accept by funding the difference, or to decline. No response, or a top-up that does not fund inside the window, counts as a decline and is refunded in full.

Refunds

Refunds are automatic. Any commitment that is not part of a settled deal is refunded in full to the address the deposit came from. No branch of a deal ends with ValoCart holding a buyer's money without either settling it or refunding it.

Payouts and commission

Seller payouts are released by a ValoCart admin after a deal succeeds, and are sent to the Solana address on the seller's profile. ValoCart's commission is deducted from the payout. Buyers pay the offer price and nothing more.

Payouts require a human release. Refunds do not. That asymmetry is deliberate.

Seller verification

A seller's first submitted offer also places their account in the verification queue. Offers only go live once both the seller and the offer are approved. Approval can be withdrawn.

Accounts

Buyer, seller and admin accounts are separate. The same email address in two of them is two unrelated accounts with no shared data or session.

Two-factor authentication is available on buyer and seller accounts and required on admin accounts.

Payments

ValoCart settles in SOL and USDC on Solana. We do not accept or store card details. Transfers on a public blockchain are irreversible once confirmed. Send to the address shown on your commitment and no other.
